1. Notarization of memorandum and articles of associations

• Draft memorandum and articles of associations; 
• A bank statement showing that one quarter of the company’s capital is deposited in a blocked account(if share company);
• Minutes of the meetings of the founders to establish the company(if share company);
• A report on the value of contribution made in kind, if any;  
• Photocopies of the relevant pages of a valid passport or photocopies of the identity cards of Ethiopian nationals or domestic status certificates for foreign nationals permanently residing in Ethiopia and taken for domestic investor;
• Photocopies of the memorandum and articles of associations, including amendments, and company registration certificate(for shareholder company);
• Authenticated minutes passed by an authorized body of the parent company authorizing the establishment a company in Ethiopia in  partnership with others, or an authenticated letter by the owner in case of a one-man company; and
• Authenticated power of attorney of the legal representative.

The following additional documents are required where a business organization is a shareholder of the company to be registered/ established:

• Minutes passed by an authorized body of the company authenticated by the public notary in the country of origin to have a stake in the company to be registered/ established;
• A document ascertaining the registration and the legal personality of the business organization; and
• Photocopies of memorandum and articles of associations.

2. Principal Registration Certificate

2.1 Individual investor

• An application form duly filled and signed by the investor/agent;
• Where the application is made by an agent, a photocopy of his power of attorney; and
• Three passport sized recent photographs.

2.2 Share company

• An application form duly filled and signed by the agent of the company;
• Where the application is made by an agent, a photocopy of his power of attorney;
• Original copies of its memorandum and articles of associations.
• Photocopies of the relevant pages of a valid passport or photocopies of the identity cards of Ethiopian nationals or domestic status certificates for foreign nationals permanently residing in Ethiopia and taken for domestic investors;

2.3 Non-share company

• An application form duly filled and signed by the agent of the company;
• Where the application is made by an agent, a photocopy of his power of attorney;
• Original copies of the memorandum and articles of associations; and
• Photocopies of the relevant pages of a valid passport or photocopies of the identity cards of Ethiopian nationals or domestic status certificates for foreign nationals permanently residing in Ethiopia and taken for domestic investors;

2.4 A branch of a business organization

• An application form duly filled and signed by an agent of the business organization;
• A photocopy of a document ascertaining the registration and  legal personality of the parent company;
• Photocopies of the memorandum and articles of associations or similar document(s) of the parent company;
• Minutes passed by the parent company’s authorized body authorizing the establishment of a branch in Ethiopia and authenticated by the public notary, or if it is a one-man company, an authenticated letter written by the owner for the establishment of a branch;
• A photocopy of the power of attorney of the representative of the company; and
• A photocopy of the relevant pages of the representative’s valid passport or identity card. 

3. Summary Registration

• An application form duly filled and signed by the investor /agent;
• Where the applicant is an individual person, photocopies of the relevant pages of a valid passport or identity card;
• Where the application is made by a business organization, photocopies of its memorandum and articles of associations;
• Where the application is made by an agent, a photocopy of his power of attorney
• A photocopy of the principal registration certificate; and
• Three passport sized recent photographs of the investor or the general manager (if company);

4. Renewal of investment permit

• An application form duly filled and signed by the investor or agent;
• The original investment permit; and
• Where the application is made by an agent, a photocopy of his power of attorney.

5. Substitution of investment permit

• A written application for the substitution of a damaged or lost investment permit;
• The damaged investment permit, where the application is for the substitution of such permit;
• Where the application is made by an agent, a photocopy of his power of attorney; and
• Two passport sized recent photographs of the investor, or general manager (as the case may be).

6. Amendment of investment permit

• Where the application is to transfer the permit to a company in which the investor is a shareholder, a written application signed by the investor/agent;
• Where the application is made by an agent, a photocopy of his power of attorney
• Memorandum and articles of associations of the company in which the transfer of the permit is to be made;
• The original investment permit;
• An application form duly filled and signed by the investor/agent, where the amendment is to change the capital and/or component of the project;   
• Where the amendment is to change the name and address of the investor, a written application; if the investor is an individual person, a photocopy of his identity card or the relevant pages of his valid passport; if the investor is a company, a copy of the minutes passed by an authorized body; and
• Two passport sized recent photographs of the individual investor or general manager (if company).

7. Revocation of investment permit

• A written application signed by the investor/agent;
• Where the application is made by an agent, a photocopy of his power of attorney.
• The original investment permit; and

8. Business license

• An application form duly filled and signed by the investor;
• Where the application is made by an agent, a photocopy of his power of attorney
• Where the applicant is a business organization, photocopies of memorandum and articles of associations, or equivalent documents;
• A photocopy of the investment permit;
• Where the application is made for a construction contracting business, a duly filled and signed application form designed for this purpose;
• An undertaking signed by the investor to comply with the rules and regulations of the country;
• Identity cards of Ethiopian nationals, or domestic status certificate, or memorandum and articles of associations of the company, including the amendments (if any); and
• Three passport sized recent photographs of the investor or general manager as the case may be.

9. Issuance of work permit

• An application form duly filled and signed by the employer;
• A photocopy of a valid investment license;
• Photocopies of the relevant pages of a valid passport of the employee; and
• Six recent passport sized photographs of the employee.

10. Domestic status certificate

• An application form duly filled and signed by the investor/shareholder or an agent;  
• A photocopy of a valid business license of the existing business;
• A photocopy of the principal registration certificate;
• A photocopy of a valid permanent residence permit;
• Where the business license is for a business organization, photocopies of its memorandum and articles of associations, including the amendments (if any);
• Where the applicant is a dependent or an heir of a foreign national permanently residing in Ethiopia and taken for a domestic investor, a photocopy of a valid permanent residence permit of the dependent or court decision declaring the status as an  heir;
• Where the application is made by an agent, a photocopy of his power of attorney; and
• Three passport sized recent photographs of the investor, dependent or heir.

11. Registration of technology transfer agreement

• An application form duly filled and signed by the technology recipient;
• A photocopy of the agreement;
• A photocopy of a valid business license or an investment permit; and
• Where the application is made by an agent, a photocopy of his power of attorney.

12. Renewal of technology transfer agreement

• An application form duly filled and signed by the technology recipient;
• A photo copy of the renewed agreement;
• The original technology transfer registration certificate; and
• Where the application is made by an agent, a photocopy of his power of attorney.

13. Registration of export-oriented non - equity based foreign enterprise collaboration agreement

• An application form duly filled and signed by the domestic investor;
• A copy of the agreement;
• A photocopy of a valid business license or an investment permit; and
• Where the application is made by an agent, a photocopy of his power of attorney.

14. Renewal of export-oriented non-equity based foreign enterprise collaboration agreement

• An application form duly filled and signed by the domestic investor;
• A copy of the renewed agreement;
• The original collaboration registration certificate; and
• Where the application is made by an agent, a photocopy of his power of attorney.

15. Grading of construction contracting company

• An application form duly filled and signed by the investor/agent
• Supportive documents (if any)

N.B.

• All documents originated from abroad should be authenticated by the concerned notary office and the Ethiopian Embassy in the home country and authentication and registration of the same by the Ministry of Foreign Affairs and Document Registration and Authentication Office of Ethiopia respectively are also required.
• All completed documents should be submitted in two separately fastened copies.
